3. User Accounts

5. Intellectual Property

Ledger Link and all associated trademarks, logos, and content are owned by us or our licensors. You receive no ownership rights.

You retain ownership of all data you upload to Ledger Link. You grant us a limited license to process and store your data to provide the service.

5.3 Feedback

Any feedback, suggestions, or ideas you provide become our property and may be used without compensation.

6. Payment Terms

6.1 Subscription Plans

Paid plans are billed monthly or annually in advance. Prices are subject to change with 30 days notice.

6.2 Payment Processing

Payments are processed securely through Square. You agree to pay all fees and applicable taxes.

6.3 Refunds

Refunds are provided at our discretion. Generally:

• No refunds for partial months
• 30-day money-back guarantee for new annual plans
• Pro-rated refunds for service outages exceeding SLA

6.4 Cancellation

You may cancel anytime. Access continues until the end of your billing period. Data is retained for 30 days after cancellation.

7. Service Level Agreement (SLA)

We commit to:

• Uptime: 99.9% monthly uptime (excluding scheduled maintenance)
• Support: Response within 24 hours (business days)
• Data Backup: Daily automated backups with 90-day retention
• Security: Industry-standard encryption and security measures

8. Warranties and Disclaimers

8.1 As-Is Service

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Guarantee

We do not guarantee:

• Error-free or uninterrupted service
• Accuracy of data or results
• Compatibility with all systems
• That security measures will be impenetrable

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGER LINK SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Lost profits, data, or business opportunities
• Damages exceeding fees paid in the prior 12 months
• Acts of third parties or forces beyond our control

10. Indemnification

You agree to indemnify and hold harmless Ledger Link from any claims arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of third-party rights
• Your users' actions

11. Data Protection and Privacy

We process your data in accordance with our Privacy Policy. You are responsible for:

12. Termination

You may terminate at any time by canceling your account.

12.3 Effect of Termination

Upon termination:

• Access to the service ends immediately
• You must pay all outstanding fees
• Data is retained for 30 days then permanently deleted
• You may export your data before termination

13. Dispute Resolution

Before filing a claim, contact us to resolve disputes informally.

13.2 Arbitration

Disputes will be resolved through binding arbitration in accordance with the American Arbitration Association rules, unless prohibited by law.

13.3 Class Action Waiver

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, excluding conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.

Continued use after changes constitutes acceptance of the new Terms.
